TestTalon Website Terms of Service — DRAFT FOR OWNER AND LEGAL REVIEW Effective date: [TO BE CONFIRMED BEFORE PUBLICATION] Last updated: October 12, 2026 Operator: Nguyen Tuan Viet, an independent software developer operating TestTalon from Vietnam Contact: contact@testtalon.com Publication status: Draft for owner and legal review. These Website Terms govern use of the website and related communications. They do not grant, change, or replace the rights granted by any TestTalon software license. Commercial purchasing is currently unavailable. 1. Acceptance and scope These Website Terms of Service ("Website Terms") govern access to and use of https://testtalon.com, its public pages, documentation links, and related communications ("Website"). By using the Website, you agree to these Website Terms to the extent enforceable under applicable law. If you do not agree, please do not use the Website. TestTalon is designed for businesses and professional users, including individual consultants. We do not assume that every visitor or purchaser acts in a business capacity. Nothing in these Website Terms excludes or limits mandatory rights, including consumer rights, that cannot lawfully be waived. If you use the Website or accept these Website Terms on behalf of a business or other entity, you confirm that you are authorized to do so and that the entity is bound by them. 2. Software licenses take precedence TestTalon software is offered in separate editions under edition-specific written licenses, including the Community Source Code License and the Commercial Source Code License (each a "Software License"). Software Licenses are separate documents. The applicable Software License controls software permissions, restrictions, authorized use and deployment scope, modification, redistribution, support, updates, termination, warranties, and liability, wherever that license addresses those subjects. These Website Terms govern use of the Website only and do not enlarge, narrow, or override any right or restriction in a Software License. If an accepted order or a separately signed written agreement applies, it governs according to its stated priority and the applicable Software License. Receiving or purchasing a license, including access to source code, does not transfer ownership of TestTalon or its copyright. 3. Product information and availability The Website may describe existing, planned, or developing capabilities. Features described as planned, in development, preview, or subject to change are not guaranteed deliverables unless they are expressly included in an accepted order or written agreement. We may correct errors and update descriptions. Commercial purchasing, checkout, payment processing, and commercial source-code delivery are not currently available through the Website. Displayed prices and descriptions are informational until sales are explicitly enabled. No order, license, or entitlement arises from viewing a price or sending an inquiry. 4. Future commercial orders If commercial sales are enabled in the future, each accepted order is intended to identify the purchased edition, the licensee, the price and any applicable taxes or fees, the delivery method, and the applicable Commercial Source Code License. Digital delivery may be provided through an approved third-party platform. Any consent or acknowledgement required by law for immediate digital delivery will be requested separately at checkout; these Website Terms are not that consent. A purchase grants only the rights stated in the applicable Software License. You are responsible for ensuring that your authorized users comply with it. 5. Support and updates for Commercial Licenses The Commercial Source Code License (Sections 9 and 10) states that, unless the purchase page states otherwise, a new Commercial License includes: - Updates: twelve (12) months of access to updates released for the purchased edition, from the purchase date. - Support: twelve (12) months of reasonable product support concerning installation, documented configuration, and included Platform features, provided by email at support@testtalon.com. Email support is provided in English. Vietnamese-language assistance may be provided on a best-effort basis and is not guaranteed. These Website Terms do not add to or change those provisions. As stated in the Commercial Source Code License, support does not automatically include custom framework development, customer-specific test implementation, infrastructure administration, application debugging, custom CI/CD engineering, database administration, security consulting, or custom third-party integration. Additional professional services may be offered separately. These Website Terms do not promise lifetime support, lifetime updates, a release schedule, a response time, custom development, or any unreleased feature. After the 12-month period: the end of included support and updates does not by itself terminate a valid perpetual Commercial License. Under the Commercial Source Code License, the licensee may continue using versions lawfully obtained, provided it complies with that license. Access to later updates or further support may require a separate renewal or purchase, if offered. Community Edition updates and support are governed by the Community Source Code License, which does not guarantee updates, support, or response times. The 12-month Commercial benefit does not apply to the Community Edition. 6. Refunds, cancellations, and license rights Refunds and cancellations are governed by the separately published TestTalon Refund Policy, any accepted order terms, relevant payment-provider rules, and mandatory law. The Commercial Source Code License does not currently contain an express clause that terminates the license upon a refund, cancellation, or payment reversal. These Website Terms do not create such a clause, and a refund or reversal does not by itself amend a Software License. Whether any software-license rights end after a refund or reversal depends on the Commercial Source Code License as written, any accepted order terms, and mandatory law. We cannot remotely delete or technically disable source-code copies that a customer has already received. 7. Website intellectual property Unless otherwise stated, TestTalon names, logos, Website design, original text, and documentation are owned by or licensed to the operator. You may view and use public Website materials for legitimate evaluation, subject to applicable law. These Website Terms do not grant any trademark right or any software license. 8. Acceptable use Do not unlawfully interfere with the Website's operation, bypass access controls, probe or exploit security vulnerabilities without authorization, upload malicious material, impersonate others, or use the Website in violation of applicable law. Responsible security reports may be sent to support@testtalon.com. 9. Third-party services and links The Website is hosted by Netlify, and TestTalon uses Lark Mail for business email. The Website may link to third-party sites, such as GitHub repositories and documentation. If payment or delivery providers are enabled in the future, their terms will also apply to transactions processed by them. We do not control third-party services or content, and these Website Terms do not override a provider's mandatory rules or obligations. 10. Disclaimers and limitation of liability The Website and its public information are provided "as available," subject to mandatory law. We do not promise uninterrupted access or error-free content. Warranties, disclaimers, remedies, and liability limits for the software are governed by the applicable Software License or signed agreement. Nothing in these Website Terms excludes or limits liability or rights that cannot lawfully be excluded or limited. 11. Suspension and changes We may restrict Website access where reasonably necessary for security, abuse prevention, or legal compliance. We may revise these Website Terms prospectively and will post the updated effective date. Changes will not retroactively remove rights under an accepted order or Software License without a lawful basis. 12. Governing law Proposed governing law for these Website Terms: the laws of Vietnam, subject to mandatory applicable law (including consumer and data-protection rights that cannot be waived) and to legal review before publication. The Community and Commercial Source Code Licenses are governed by the law stated in each license, currently the Socialist Republic of Vietnam (Community Section 18; Commercial Section 17). 13.
