YOU MAY: • Use TestTalon for commercial work within your purchased license scope. • Access, inspect, use, modify, customize, refactor, and integrate the source code. • Use TestTalon for unlimited permitted automation projects. • Use TestTalon for internal company work and permitted client/consulting projects. • Keep TestTalon and permitted modifications in private repositories. • Execute TestTalon on unlimited permitted local machines, servers, VMs, containers, CI/CD agents, cloud runners, environments, browsers, emulators, simulators, and physical test devices. • Deliver project-specific tests, configurations, reports, integrations, and permitted customized automation solutions to clients. • Keep all revenue from permitted applications, consulting, client work, and services without royalties to Licensor. • Continue using versions lawfully obtained after the included update/support period ends. • Use TestTalon without mandatory online activation or a continuous runtime license-server connection under Version 4.0. • Use TestTalon without customer-facing attribution to Licensor, subject to the full terms below. THE MAIN RESTRICTION: You may not redistribute, resell, sublicense, publish, give away, rent, lease, white-label, repackage, or distribute TestTalon itself — including a modified version — as a reusable automation framework, automation platform, starter kit, template, boilerplate, developer toolkit, source-code package, or competing reusable product. These restrictions do not prevent legitimate applications, testing solutions, automation projects, consulting services, or project-specific client solutions that use TestTalon as the underlying automation foundation in accordance with the full License. 1. PARTIES AND PRODUCT This License is between Nguyen Tuan Viet ("Licensor") and the individual or legal entity that lawfully purchases the applicable license ("Licensee"). The licensed product is TestTalon, including proprietary source code, architecture, configuration, utilities, integrations, scripts, examples, documentation, templates, and other materials included in the purchased Commercial Edition ("Platform"). Third-party software remains governed by its respective third-party license. 2. OWNERSHIP The Platform is licensed, not sold. Licensor retains ownership and intellectual-property rights in the original Platform, including proprietary source code, architecture, reusable framework components, documentation, and product materials. Licensee owns its independently created application-specific tests, business logic, test data, configurations, project-specific integrations, and other original materials. Modifying the Platform does not transfer ownership of the original Platform to Licensee. 3. LICENSE GRANT Subject to payment and compliance with this License, Licensor grants Licensee a worldwide, perpetual, non-exclusive, royalty-free, non-transferable Commercial Source Code License to use, execute, inspect, modify, customize, integrate, and operate the Platform within the purchased license scope. "Perpetual" means Licensee may continue using versions lawfully obtained even after the included support or update period ends, provided Licensee complies with this License. No recurring payment is required merely to continue using a version already lawfully obtained. 4. PERMITTED USE Within the applicable license scope, Licensee may: a. Use and modify the Platform for unlimited permitted automation projects. b. Use it for commercial software testing, quality engineering, development, CI/CD, internal tools, test infrastructure, and related automation. c. Use it for client and consulting projects. d. Store it and modifications in private source-control repositories. e. Permit employees and contractors covered by the purchased license scope to access it for permitted work. f. Execute it on unlimited local machines, servers, VMs, containers, CI/CD agents, cloud runners, environments, browsers, emulators, simulators, and physical test devices. g. Modify, refactor, rename, extend, remove, replace, or customize components for permitted projects. h. Generate, use, and distribute test reports, execution results, screenshots, videos, traces, logs, JSON output, email summaries, dashboards, and testing artifacts. i. Keep all revenue from applications, consulting, client work, and services without royalties to Licensor. j. Use the Platform without displaying Licensor attribution in customer-facing systems, reports, or automation output. k. Make reasonable backup and archival copies. 5. CLIENT AND CONSULTING PROJECTS Licensee may use the Platform to build, customize, operate, and maintain automation solutions for clients. Licensee may deliver project-specific automation tests, configurations, reports, integrations, and a customized automation solution to a client when reasonably necessary for that specific client project. The client may use and maintain that delivered solution for the specific client project. Neither Licensee nor the client may extract, redistribute, resell, publish, sublicense, or repackage the underlying Platform as a reusable automation framework, template, starter kit, automation platform, source-code package, or competing product. If a client wants to use the Platform as a reusable foundation for unrelated projects across its organization, the client should obtain an appropriate Company or Enterprise license. 6. LICENSE SCOPES 6.1 INDIVIDUAL / CONSULTANT Licensed to one named individual. The individual may use the Platform for unlimited personal commercial projects and unlimited client/consulting projects. The license itself may not be shared as a reusable framework license with another independent developer or organization. 6.2 COMPANY Licensed to one legal entity. It permits unlimited internal employees, authorized contractors working for that entity, internal automation projects, private repositories, and CI/CD/test execution. There is no per-developer, per-seat, per-project, per-machine, per-test, or per-CI-agent charge. Separately incorporated parents, subsidiaries, affiliates, or sister companies are not automatically included unless stated in the purchase terms. 6.3 ENTERPRISE Provides the same broad operational rights and may additionally cover multiple identified legal entities, subsidiaries, affiliates, business units, custom procurement requirements, onboarding, support arrangements, or other negotiated organizational needs. Scope is defined in the applicable order, invoice, or written agreement. 7. CORE REDISTRIBUTION AND COMPETING-PRODUCT RESTRICTION This is the primary restriction of this License. Without Licensor's prior written permission, Licensee may NOT: a. redistribute, resell, sublicense, publish, give away, rent, lease, or otherwise provide the Platform itself as a reusable source-code product; b. publish substantial proprietary Platform source code to a public repository, package registry, file-sharing service, marketplace, website, course repository, or other location where third parties can obtain it as a reusable framework; c. repackage, rename, rebrand, white-label, or distribute the Platform — original or modified — as another automation framework, automation platform, starter kit, template, boilerplate, developer toolkit, source-code package, or substantially similar reusable product; d. modify, refactor, extend, translate, port, or otherwise create a derivative and then sell, publish, give away, or distribute that derivative when its primary purpose is to function as a competing reusable automation framework/platform; e. include Platform source code as a downloadable framework, source-code bundle, template, course asset, or product whose primary value is the reusable Platform itself. These restrictions apply whether the redistributed or competing version is free or paid. These restrictions do NOT prevent Licensee from building, selling, operating, or delivering legitimate applications, testing solutions, automation projects, consulting services, or project-specific client solutions that use the Platform as an underlying automation foundation in accordance with this License. 8. PRIVATE REPOSITORIES AND INTERNAL ACCESS Private repositories are permitted. Licensee is responsible for reasonable measures to prevent unauthorized public distribution. No runtime "phone home," mandatory online activation, or continuous license-server connection is required under Version 4.0. Licensor may issue a purchase record, license ID, or licensee identification file as evidence of a lawful license; such identification does not restrict normal execution. 9. UPDATES Unless the purchase page states otherwise, a new Commercial License includes twelve (12) months of access to updates released for the purchased edition from the purchase date. After that period, Licensee may permanently continue using versions lawfully obtained. Renewal is not required merely to keep those versions running. Access to later updates may require an optional renewal or new purchase. Licensor does not guarantee a particular release schedule. 10. SUPPORT Unless the purchase page states otherwise, a new Commercial License includes twelve (12) months of reasonable product support concerning installation, documented configuration, and included Platform features. Support does not automatically include custom framework development, customer-specific test implementation, infrastructure administration, application debugging, custom CI/CD engineering, database administration, security consulting, or custom third-party integration. Additional professional services may be offered separately. 11. THIRD-PARTY SOFTWARE AND SERVICES Third-party components remain subject to their own licenses and terms. Licensee is responsible for required third-party accounts, subscriptions, infrastructure, permissions, and licenses. 12. NO GUARANTEE OF UNIVERSAL COMPATIBILITY The Platform is a configurable automation foundation. Applications, APIs, browsers, mobile platforms, databases, authentication systems, CI/CD environments, security tools, networks, and infrastructure differ. Configuration, adaptation, dependencies, or project-specific implementation may be required. 13. WARRANTY DISCLAIMER TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ERROR-FREE OPERATION. LICENSOR DOES NOT WARRANT THAT THE PLATFORM WILL IDENTIFY EVERY SOFTWARE DEFECT, SECURITY ISSUE, PERFORMANCE ISSUE, DATA ISSUE, OR FAILURE. NOTHING IN THIS LICENSE EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED. 14. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR BUSINESS OPPORTUNITY ARISING FROM OR RELATED TO THE PLATFORM. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR'S TOTAL AGGREGATE LIABILITY ARISING FROM THE PLATFORM OR THIS LICENSE WILL NOT EXCEED THE AMOUNT ACTUALLY PAID BY LICENSEE FOR THE APPLICABLE PLATFORM LICENSE. NOTHING LIMITS LIABILITY THAT CANNOT LAWFULLY BE LIMITED. 15. TERMINATION FOR MATERIAL BREACH This License may terminate if Licensee materially breaches it and fails to cure a curable breach within a reasonable period after notice. A material violation of Section 7 concerning resale, redistribution, publication, sublicensing, or repackaging may result in termination of the rights granted under this License. 16. BUSINESS TRANSFERS A Company or Enterprise License may transfer as part of a bona fide merger, acquisition, or sale of substantially all of the licensed business or business unit using the Platform, provided the Platform is not sold separately as a source-code product and the successor agrees to comply with this License. Licensee should notify Licensor at support@testtalon.com so license records can be updated. 17. GOVERNING LAW This License is governed by the laws of the Socialist Republic of Vietnam, without regard to conflict-of-law principles, except where mandatory applicable law requires otherwise. Nothing in this License is intended to override mandatory consumer or statutory rights that legally apply and cannot be waived. 18. ENTIRE LICENSE This License, the applicable purchase record, and any expressly agreed written commercial terms govern Licensee's use of the Platform. If a separately signed or expressly issued written agreement conflicts with this standard License, that specific written agreement controls for that customer. 19.
